1. Acceptance of Terms

By accessing or using the services provided by Talent Hero Media (“we,” “us,” or “our”), including digital marketing, advertising, consulting, creative services, software tools, or any related offerings (collectively, the “Services”), you (“Client” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use our Services.

2. Description of Services

Talent Hero Media provides digital marketing services primarily for recruiting and staffing agencies. These may include, but are not limited to, marketing strategy, website design and development, paid advertising management, search engine optimization, content creation, branding, creative services, automation, analytics, and performance optimization. We may modify or update the Services at any time.

3. Client Responsibilities

You agree to provide accurate and necessary information for us to perform the Services, approve or respond to deliverables and requests in a timely manner, and provide access to required platforms, tools, and accounts. You must ensure you have the legal rights to any content you provide and comply with all applicable laws related to your business, including employment, advertising, and data protection laws.

4. Fees and Payment

All fees are outlined in your service agreement, proposal, or invoice. Payment is due on the schedule specified. Late payments may incur interest and may result in suspension of Services. All fees are non-refundable unless otherwise stated in writing.

5. Term and Termination

Either party may terminate the engagement according to the terms outlined in the signed agreement or with written notice if the other party breaches these Terms. Upon termination, the Client remains responsible for all outstanding payments. Access to deliverables, campaigns, or platforms may be revoked until payment is complete. Certain licenses, assets, or work product may remain the property of Talent Hero Media unless otherwise agreed.

6. Intellectual Property

Client Content, including logos, brand assets, and pre-existing materials, remains the Client’s property. Agency Work Product, including creative assets, strategies, proprietary templates, code, campaigns, or systems, remains the property of Talent Hero Media unless transferred in writing. We grant Clients a non-exclusive license to use deliverables produced for their business purposes.

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the engagement. Confidentiality obligations survive termination.

8. Data and Privacy

We may collect, store, or process data as needed to perform the Services. We do not sell client data. Clients are responsible for compliance with data privacy laws and for maintaining lawful use of candidate or customer data.

9. No Guarantee of Results

Marketing outcomes depend on factors outside our control, including market conditions, client responsiveness, advertising budgets, and platform algorithms. Therefore, we do not guarantee specific results, including but not limited to lead volume, revenue, or rankings.

10. Third-Party Platforms

We may use third-party tools and platforms, including but not limited to Google, Meta, LinkedIn, and CRM systems. Talent Hero Media is not responsible for outages, policy changes, ad disapprovals, or performance impacts caused by third-party platforms. The Client remains responsible for any fees charged by third-party platforms unless otherwise agreed.

11. Limitation of Liability

To the maximum extent permitted by law, Talent Hero Media is not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the amount paid by the Client in the three months preceding the claim.

12. Indemnification

The Client agrees to indemnify and hold harmless Talent Hero Media against any claims arising from Client-provided materials, misuse of the Services, or violations of laws or third-party rights.

13. Modifications to Terms

Talent Hero Media may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, unless otherwise stated in a separate written agreement.
